Terms of Service

1. Seller

HelixCore Biotech is a brand operated by [Registered name — pending], established at [Registered address — pending], VAT number [VAT number — pending]. In these terms, “we,” “us,” or “HelixCore” refers to that entity.

2. Eligibility

You must be at least 18 years old and a qualified researcher acting on behalf of a licensed laboratory or research entity to place an order. By completing the age-gate or a purchase you affirm both.

3. Products and use

All products sold by HelixCore Biotech are for in-vitro laboratory research only. See our RUO Policy for the full disclaimer and obligations.

4. Formation of contract

The display of products on the site is an invitation to treat. Your order placed through checkout is an offer to buy. A contract is concluded only when we send an order confirmation email accepting your offer. Until that point we may decline an order at our discretion.

5. Prices and payment

Prices are quoted in euro (EUR) and include applicable value-added tax (VAT). The applicable VAT rate will be confirmed once the seller entity is registered for VAT and shown on each invoice. Shipping is charged in addition unless the order qualifies for free shipping under our Shipping Policy.

We accept the payment methods displayed at checkout. Payment must be received and confirmed before goods are dispatched.

6. Delivery

We ship to addresses within the European Union and the European Economic Area only. Delivery terms, lead times, and rates are set out in the Shipping Policy. Risk of loss passes to a consumer buyer on delivery of the goods, in accordance with Article 20 of Directive 2011/83/EU.

7. Right of withdrawal

If you are a consumer resident in the EU/EEA, you have a 14-day right of withdrawal under Directive 2011/83/EU. 8. Conformity and statutory guarantees

Goods supplied to consumers must be in conformity with the contract as required by Directive (EU) 2019/771. If a good is not in conformity, you are entitled to the remedies set out in that Directive — repair or replacement, or, where appropriate, a price reduction or rescission — within the periods provided by national implementing law in your Member State. Nothing in these terms limits or excludes those rights.

9. Limitation of liability

To the maximum extent permitted by applicable law, our liability for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenues, data, or goodwill, is excluded. Our aggregate liability for any claim relating to a product will not exceed the price you paid for that product.

Nothing in these terms limits or excludes liability that cannot be limited or excluded under the law applicable to a consumer contract — including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for the statutory rights of consumers set out in section 8.

10. Prohibited uses

You agree that products purchased from HelixCore Biotech are for in-vitro laboratory research only. You will not administer any product to a human or to an animal in a clinical or therapeutic context, and you will not resell or distribute the products to any party who intends to do so. You will not make claims about the products' efficacy, safety, or therapeutic effect.

11. No medical claims

Our products are not medicinal products within the meaning of Directive 2001/83/EC. They have not been evaluated or authorised by the European Medicines Agency or any national medicines authority. We make no representation that any product is safe or effective for use in humans or animals.

12. Account terms

If you create an account, you are responsible for keeping your credentials confidential and for activity on your account. Notify us immediately at support@helixcorebio.eu if you suspect unauthorised use.

13. Intellectual property

All site content, branding, product photography, and copy are the property of HelixCore Biotech. You may not reproduce or republish without written permission.

14. Modifications

We may update these terms. The version in force at the time you place an order governs that order. Continued use of the site after an update constitutes acceptance of the new terms for future purchases.

15. Governing law

These terms are governed by [Jurisdiction — pending]. Where you are a consumer habitually resident in another EU Member State, you also benefit from the mandatory protections of the law of that Member State.

16. Dispute resolution

We aim to resolve disputes informally first — please write to support@helixcorebio.eu before initiating any proceeding.

Under Regulation (EU) No 524/2013, consumers in the EU may use the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr. We are not currently committed to resolving disputes through any specific alternative dispute resolution body.
